Agreement to Terms

- Photography (portrait, product, editorial)
- Podcast and audio production
- Web design
- Creative direction and art direction
Specific services, deliverables, timelines, and fees are defined in individual service agreements or statements of work between Northlane Media and each client.
Project Results
While we are committed to delivering high-quality creative work, Northlane Media does not guarantee specific business outcomes, including but not limited to:
- Specific levels of audience views, engagement, or reach
- Particular business outcomes such as leads, sales, or revenue increases
- Award recognition or festival selections
- Viral performance or media coverage
The success of creative work depends on many factors outside our control, including distribution, audience reception, timing, and market conditions. Any case studies, examples, or references to past results are illustrative and do not guarantee similar outcomes for other clients.
Client Responsibilities
When engaging our services, you agree to:
- Provide accurate and complete information about your business, products, and services
- Review and approve content and materials in a timely manner
- Disclose any information that may affect our ability to represent you appropriately
- Comply with all applicable laws and regulations in your communications
- Not request that we create false, misleading, or defamatory content
- Pay fees according to agreed-upon terms
Intellectual Property
Client Materials
You retain ownership of all materials, information, trademarks, and intellectual property you provide to us. By providing such materials, you grant us a limited license to use them solely for the purpose of delivering the agreed-upon services.
Work Product
Unless otherwise specified in a separate agreement, once full payment is received, you will own the deliverables we create specifically for you (e.g., press releases, messaging documents, content). We retain the right to use general concepts, ideas, and methodologies developed during our engagement.
Our Materials
Northlane Media retains ownership of all proprietary materials, templates, processes, and methodologies used in delivering services. These remain our intellectual property.
Confidentiality
We treat client information with confidentiality and will not disclose confidential business information to third parties without your consent, except as required by law. Specific confidentiality terms may be defined in separate non-disclosure agreements as needed.
Payment Terms
Payment terms are specified in individual service agreements. Generally:
- Project work typically requires a deposit before work begins, with the balance due upon completion
- Retainer engagements are billed monthly in advance
- Invoices are due within 15 days unless otherwise agreed
- Late payments may incur fees and may result in suspension of services
Limitation of Liability
To the fullest extent permitted by law:
- Northlane Media's total liability for any claims arising from our services shall not exceed the fees paid by you for the specific services giving rise to the claim
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, revenue, or data
- We are not liable for the actions or decisions of journalists, editors, publications, or other third parties
- We are not liable for delays or failures in performance caused by circumstances beyond our reasonable control
Indemnification
You agree to indemnify, defend, and hold harmless Northlane Media and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- Your breach of these Terms
- Your violation of any law or third-party rights
- Any false, misleading, or inaccurate information you provide
- Your products, services, or business operations
Termination
Either party may terminate a service engagement according to the terms specified in the applicable service agreement. Generally:
- Either party may terminate with 30 days written notice
- We may terminate immediately if you breach these Terms or fail to make required payments
- Upon termination, you are responsible for fees for work completed through the termination date
Website Use
In using our website, you agree not to:
- Use the website for any unlawful purpose
- Attempt to gain unauthorized access to our systems
- Interfere with the proper functioning of the website
- Copy, reproduce, or distribute website content without permission
- Use automated systems to access the website without permission
Disclaimer of Warranties

Governing Law

Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

These Terms, together with any applicable service agreements, constitute the entire agreement between you and Northlane Media regarding the subject matter herein and supersede all prior agreements and understandings.
